Hi,
I record phone conversion using original codecs G711/729
In order to be able to keep it in MP4 container and playback using HTML5, I want to transcode coming audio to aac.
What can be downside of it?
Will be I able to keep the same audio quality and file size?

You will have to sacrifice one or the other. If you keep the same file size then the loss in quality may not be audible, or at least may not be objectionable.
