According to MSDN, that is STATUS_DLL_INIT_FAILED. Is it failing immediately, or only after a partial conversion? Maybe you need to reinstall LAME?

I'd reinstalled it (Lame) - but nothing, the same situation.

Is it a version which requires any special run-time libraries? If so, where did you extract those?

I'd extract it in root folder:
C:\Program Files (x86)\Foobar2000
And Yes it's failing immediately.

I am getting the same error as sugarD with lame 3.99.4 in foobar2000 program directory.
I do not get the error if I replace with version 3.99.3.
Lame settings are foobar default.
Lame is from rarewares.
XP SP3 x86 machine.

Ooops, sorry, I see now that rarewares has a updated version of lame 3.99.4 dated 20120130.
The updated version doesn't produce the error above.
